These Terms & Conditions govern your membership of Casa Rasa and attendance at Casa Rasa events. Please read them carefully. By applying for or confirming membership you agree to be bound by these Terms. We recommend you save or print a copy for your records.

These Terms should be read alongside our Membership Terms and Privacy Policy. If you have any questions, contact us at hello@casarasa.uk before confirming your membership.

Important: These Terms have been prepared for general guidance only and do not constitute legal advice. Casa Rasa recommends seeking independent legal advice before publishing these Terms.

1.   Introduction

1.1These Terms and Conditions (“Terms”) govern your membership of Casa Rasa and your attendance at any Casa Rasa event. They form a legally binding agreement between you and us.

1.2Rasa Rusa Ltd (company number 16964694), a company registered in England and Wales, whose registered office is at Flat 20, 219 Baker Street, London NW1 6XE (“Casa Rasa”, “we”, “us”, “our”) operates the membership community known as Casa Rasa.

1.3By applying for membership, or by confirming a quarterly renewal, you agree to be bound by these Terms. If you do not agree, you should not proceed with your application or renewal.

1.4These Terms apply to all members, including Founding Members, unless expressly stated otherwise.

1.5We may update these Terms from time to time. We will notify you of any material changes by email at least 30 days before they take effect. Your continued membership after that date constitutes acceptance of the revised Terms.

1.6These Terms are governed by the laws of England and Wales. Nothing in these Terms affects your statutory rights as a consumer.

2.   Membership

2.1Casa Rasa is a quarterly membership community offering access to intimate dining tables, a guest pass, and a seasonal gathering each quarter. Full details of current membership benefits are set out in our Membership Terms.

2.2Membership is personal to you and may not be transferred, sold, gifted, or shared with any other person.

2.3Membership runs in quarterly cycles aligned to the calendar year:

(a)Q1: 1 January – 31 March

(b)Q2: 1 April – 30 June

(c)Q3: 1 July – 30 September

(d)Q4: 1 October – 31 December

2.4There are no automatic renewals. Before each new quarter, we will contact you personally to confirm whether you wish to continue. Payment is taken only on your confirmation.

2.5If you join mid-quarter, your first payment covers the remainder of that quarter at the full quarterly rate.

2.6Founding Membership. Founding membership is limited to 20 members. Founding members pay £149 per quarter — a rate locked in for life. This rate applies whenever a founding member holds an active membership, including upon return after stepping away. Founding membership is offered at our sole discretion and is not available once the founding cohort is full.

2.7The standard membership rate for members joining after the founding cohort is £199 per quarter. Casa Rasa reserves the right to revise the standard rate for future cohorts. Any such revision will not affect the rate payable by an existing active member during their current quarter.

3.   Eligibility

3.1Membership is open to individuals aged 18 or over only.

3.2Membership is subject to application and approval. We reserve the right to accept or decline any application at our sole discretion and without providing a reason.

3.3By applying for membership you confirm that:

(a)you are aged 18 or over;

(b)all information you have provided in your application is accurate, complete, and not misleading;

(c)you are able and willing to attend events in London.

3.4Applications may be submitted through our website at casarasa.uk or by referral from an existing member. Referral does not guarantee acceptance.

3.5We reserve the right to withdraw membership at any time in accordance with Section 9.

4.   Code of Conduct

4.1Casa Rasa is a community built on trust, discretion, and mutual respect. All members and their guests are expected to uphold these values at all Casa Rasa events and in all dealings with fellow members.

4.2Confidentiality. What is shared at a Casa Rasa event is shared in confidence. Members must not disclose personal information about fellow members or guests without their express consent. Members must not share details of private conversations from events on social media, in the press, or in any public forum.

4.3Photography. Personal photography at Casa Rasa events is welcome. Members may share content on their own personal accounts, though we ask that you are mindful of other guests and use your discretion. Audio and video recording remains subject to the consent of those present. If Casa Rasa wishes to feature a member’s likeness on its own business account or in any commercial communications, we will seek that member’s express permission in advance. Casa Rasa’s broader photography policy is set out in Section 7.

4.4Guests. Members are responsible for the conduct of any guest they bring to a Casa Rasa event. Members must ensure their guests are aware of and adhere to this Code of Conduct. Misconduct by a guest may result in action being taken against the sponsoring member.

4.5Zero tolerance. We operate a zero-tolerance policy towards harassment, discrimination, bullying, or any behaviour that makes another person feel unsafe or unwelcome. This includes conduct related to age, disability, gender reassignment, marriage or civil partnership, pregnancy, race, religion or belief, sex, or sexual orientation, or any other characteristic protected under the Equality Act 2010.

4.6Commercial activity. The Casa Rasa member community and events must not be used for unsolicited commercial activity, direct marketing, data harvesting, or recruitment without our prior written consent.

4.7Breach of this Code of Conduct may result in immediate termination of membership in accordance with Section 9.

5.   Payments

5.1The standard Membership Fee for members joining after the founding cohort is £199 per quarter. Founding members pay £149 per quarter in accordance with clauses 2.6 and 5.4. We reserve the right to revise the standard Membership Fee for future cohorts, but any such revision will not affect an existing active member’s current quarter.

5.2Payment is due upon your confirmation of each quarterly renewal. We will never charge you without your express confirmation.

5.3If you join mid-quarter, the full Membership Fee for that quarter is payable regardless of the date of joining. No pro-rating applies.

5.4Founding member rate. Founding members lock in the Membership Fee in effect at the time of their first payment for life. This rate applies whenever a founding member is active and is preserved upon return regardless of how long a founding member has been away. No condition on continuity or approved pause applies to the founding rate.

5.5Refunds. Quarterly fees already paid are non-refundable, except:

(a)where we terminate your membership due to our own breach of these Terms, in which case a pro-rated refund will be issued for the unused portion of the quarter; or

(b)as required by your statutory rights as a consumer under applicable UK law.

5.6Your right to cancel. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel a contract for services within 14 days of entering into it without giving a reason (the “Cooling-Off Period”). However, where you expressly request that your membership commences immediately — for example, by attending an event within the Cooling-Off Period — you acknowledge that your right to cancel will be lost once the service has been fully performed. Nothing in these Terms limits or excludes your statutory cancellation rights.

5.7If we are unable to process your payment following your confirmation of renewal, we will contact you. If payment remains outstanding after 14 days, we reserve the right to suspend your membership until payment is received.

6.   Events

6.1Types of events. Each membership quarter includes access to the following events:

(a)Home Tables — intimate dinners for approximately six guests, hosted in a member’s home. Food and wine are provided by Casa Rasa.

(b)Guest Tables — a member may bring one guest to a table per quarter, using their included guest pass.

(c)Seasonal Gatherings — a larger quarterly event for all members held at a London restaurant or venue.

6.2Bookings. Event invitations and placements are managed by Casa Rasa. Availability is subject to capacity. We will make reasonable efforts to ensure every active member is offered placement at events in their paid quarter. We cannot guarantee placement at every event, but unused benefits carry forward as set out in our Membership Terms.

6.3Cancellations by you. If you are unable to attend a confirmed event, please notify us as soon as possible. Due to the intimate nature of our events — where your presence has been factored into seating and introductions — last-minute cancellations have a significant impact on other guests. Repeated late cancellations (within 48 hours of an event) may be treated as a breach of these Terms.

6.4Cancellations by us. If we are required to cancel or postpone an event due to circumstances beyond our reasonable control (including but not limited to illness, venue issues, or force majeure), we will give you as much notice as possible and endeavour to offer an alternative date. Any benefits unused as a result of a cancellation by us will be carried forward.

6.5Hosting. Founding members may choose to host a table in their home. By volunteering to host, you agree to make your space available for the agreed event and to cooperate with Casa Rasa on logistics. Casa Rasa takes full responsibility for providing food and wine. You are under no obligation to host and there is no penalty for choosing not to do so.

6.6Allergens and dietary requirements. Casa Rasa takes responsibility for sourcing and providing food and wine at all events. We are committed to accommodating dietary requirements and allergies where reasonably possible. You must notify us of any allergies, intolerances, or dietary requirements before attending any event. Whilst we take care to accommodate requirements, we cannot guarantee a completely allergen-free environment. You attend at your own risk in relation to any dietary requirements that have not been disclosed to us in advance.

6.7Alcohol. Wine and other alcoholic drinks are included as part of the event experience. By attending, you confirm that you are aged 18 or over. Casa Rasa promotes responsible drinking and reserves the right to decline to serve alcohol to any guest at any time.

6.8Events in private homes. Some events are held in the private homes of Casa Rasa members. Private residences are not commercial premises and may not meet the same accessibility or safety standards as public venues. Casa Rasa takes reasonable steps to ensure all hosting properties are appropriate before confirming an event, but cannot be held responsible for conditions within private properties that are beyond our reasonable knowledge or control. Please refer to Section 8 for our full liability position.

6.9Behaviour at events. The Code of Conduct in Section 4 applies at all Casa Rasa events. Casa Rasa reserves the right to ask any person to leave an event if their behaviour is deemed disruptive, unsafe, or inconsistent with our community values.

7.   Intellectual Property

7.1All intellectual property rights in Casa Rasa’s name, logo, branding, website, event materials, and communications are owned by or licensed to Rasa Rusa Ltd. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent.

7.2You must not reproduce, adapt, distribute, or display any Casa Rasa branding or content in any way that suggests an endorsement of or affiliation with a third party, or for any commercial purpose, without our express written permission.

7.3Your content. If you voluntarily share content relating to Casa Rasa — such as photographs or posts on social media — you grant us a non-exclusive, royalty-free, worldwide licence to repost or reference that content for promotional purposes. We will not use your content in a way that identifies other guests without their consent. You may withdraw this licence at any time by contacting us at hello@casarasa.uk.

7.4Event photography. If Casa Rasa arranges photography or video at an event, we will inform guests in advance. By attending, you consent to incidental inclusion in photography or video produced for Casa Rasa’s promotional use, unless you notify us before or at the event that you do not consent. All such content is handled in accordance with our Privacy Policy.

7.5Member information. Any information shared within the Casa Rasa member community — including member profiles, introductions, and contact details — is shared solely for the purpose of connection and community. It must not be used for commercial solicitation, unsolicited outreach, data collection, or any purpose outside the spirit of membership.

8.   Liability

8.1Nothing in these Terms excludes or limits our liability for:

(a)death or personal injury caused by our negligence or the negligence of our employees or agents;

(b)fraud or fraudulent misrepresentation;

(c)breach of your statutory rights under the Consumer Rights Act 2015, including the implied term that services will be provided with reasonable care and skill; or

(d)any other liability that cannot be excluded or limited under applicable law.

8.2Subject to clause 8.1, our total liability to you arising out of or in connection with your membership or attendance at any Casa Rasa event shall not exceed the total Membership Fees paid by you in the 12 months immediately preceding the event or circumstance giving rise to the claim.

8.3Subject to clause 8.1, we shall not be liable for any indirect, consequential, or special loss, including but not limited to: loss of enjoyment, loss of opportunity, loss of profit, or any loss arising from events or circumstances outside our reasonable control.

8.4Events in private homes. Member hosts who open their homes for Casa Rasa events do so voluntarily. They are independent individuals and are not employees, agents, or representatives of Casa Rasa. We take reasonable steps to assess all venues before confirming events, but we are not responsible for the structural condition, fixtures, or contents of private properties beyond what is within our reasonable knowledge and control.

8.5Food and drink. Casa Rasa takes responsibility for the sourcing, preparation, and provision of food and drink at all events. We take reasonable care to ensure food is safe and suitable. Our liability for food-related claims is subject to clause 6.6, which requires you to disclose dietary requirements and allergens in advance.

8.6Personal belongings. We are not responsible for the loss, theft, or damage of personal belongings at any Casa Rasa event.

8.7Force majeure. We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, pandemic, government restrictions, fire, flood, or industrial action. We will notify you promptly of any such circumstances and will work to minimise any impact on your membership.

9.   Termination

9.1Not renewing. You are never obligated to renew your membership. Simply inform us that you wish to step away and no further payment will be taken. Clause 9.6 sets out the effect of not renewing on your founding member rate.

9.2Pausing. You may request a pause of one full quarter. A pause holds your membership place for that quarter. No payment is taken during a pause and no new benefits accrue. Any benefits unused from your last paid quarter are preserved through the pause and remain available on your return. Please notify us before the new quarter begins to arrange a pause. If, during a pause, a founding member refers a prospective member who joins Casa Rasa and pays their first quarterly Membership Fee in the same quarter as the pause, Casa Rasa will grant the founding member one complimentary table seat for that quarter. The complimentary seat is provided at the specific table attended by the referred member and applies to that quarter only. No payment is required from the founding member in respect of that seat.

9.3Termination by Casa Rasa — conduct. We reserve the right to terminate your membership immediately if you breach the Code of Conduct in Section 4 or any other material term of these Terms. We will notify you of termination by email. In the event of termination for conduct, no refund will be issued for the current quarter.

9.4Termination by Casa Rasa — other. We reserve the right to terminate or suspend your membership with 30 days’ written notice in other circumstances, including if Casa Rasa ceases to operate or materially changes its membership model. In such cases, a pro-rated refund will be issued for the unused portion of the current quarter.

9.5Termination by you for our breach. If we materially breach these Terms and fail to remedy the breach within 14 days of your written notice, you may terminate your membership immediately. In such circumstances, we will issue a pro-rated refund for the unused portion of your current quarter.

9.6Effect on founding rate. A founding member’s rate is permanent. If you step away and choose to return, your founding rate applies from the moment you rejoin, regardless of the length of your absence. The terms and pricing in effect for new members at the time of rejoining do not apply to founding members.

9.7Surviving clauses. On termination of your membership for any reason, clauses 4.2 (confidentiality), 7 (intellectual property), 8 (liability), 10 (governing law), and any other provision that by its nature should survive, shall continue to apply.

10.   Governing Law

10.1These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

10.2You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, save that we reserve the right to bring proceedings in any court of competent jurisdiction for the purpose of enforcing our intellectual property rights.

10.3Complaints. If you have a complaint or concern, please contact us in the first instance at hello@casarasa.uk. We will acknowledge your complaint within 5 working days and aim to resolve it within 28 days.

10.4Alternative dispute resolution. If we are unable to resolve a dispute through our internal complaints process, you may refer the matter to an alternative dispute resolution (ADR) provider. Details of approved ADR providers can be found at https://www.gov.uk/find-a-mediation-service.

10.5Nothing in these Terms affects your rights to bring claims in the courts of England and Wales as a consumer.
